Marvell Technology’s agreement to acquire optical components maker Lumentum presents an enormous opportunity to meet expanding connectivity requirements driven by artificial intelligence infrastructure development, Lumentum CEO Michael Hurlston told US Top News and Analysis (cnbc.com) on Monday.
Merging Technologies for AI Expansion
Marvell CEO Matt Murphy explained during an appearance on “Squawk on the Street” that the industry requires scale-up technology combining semiconductors and optics to function without friction. He added that the companies intend to establish an entirely new category of business through the transaction.
Because the agreement is structured as a fixed-ratio transaction without cash, the final financial value will rely on Marvell stock prices. According to a company press release, the transaction establishes an implied enterprise value of $115 billion for Lumentum.
Following the announcement, Marvell shares dropped 13% during Monday trading, and Lumentum stock declined by nearly 19%. Even so, both equities have delivered massive gains during the artificial intelligence surge, with Marvell more than doubling over the preceding year before Monday’s decline, while Lumentum quadrupled across the same timeframe.
Market Demand and Transaction Terms
Marvell stated that the purchase enables the integration of electrical and optical systems to satisfy rapidly growing and evolving AI connectivity needs across various platforms and regions. Businesses increasingly depend on optical connections to link the processors utilized for training and operating large language models.
Murphy noted that the resulting solutions will be highly sought after, explaining that products remain entirely sold out due to surging demand that shows no signs of slowing down.
Under the terms of the accord, Lumentum shareholders will obtain 4.5 Marvell shares for every single Lumentum share they own. The companies anticipate that the transaction will finalize in the first half of 2028.
This takeover represents one of the most prominent financial commitments to artificial intelligence in 2026, arriving despite ongoing worries regarding the long-term viability of infrastructure expenditures.
Prior Investments and Industry Partnerships
This transaction follows previous investments by Marvell in AI expansion, including the completion earlier in the year of a multibillion-dollar acquisition targeting Celestial AI, a startup specializing in optical interconnect technology.
Murphy also dismissed worries surrounding Nvidia’s circular investment practices, despite Nvidia having recently made multibillion-dollar financial commitments in both Marvell and Lumentum.
To reinforce data center infrastructure that hosts its processing units, Nvidia has established connections within a network of associated firms by investing in technology enterprises that buy its components or in neocloud providers renting computing power. These moves have drawn criticism that firms like Nvidia essentially finance themselves by acquiring stakes in their client base.
Murphy told US Top News and Analysis (cnbc.com) that the deal reinforces their backing of Nvidia, describing Nvidia as the dominant ecosystem leader. He emphasized a strong commitment to that partnership, asserting that the unification of two vital suppliers supporting the ecosystem will provide significant advantages.
Supported by continuous enthusiasm for artificial intelligence, Marvell’s market capitalization has more than tripled across the past three years. Meanwhile, Lumentum’s stock price has more than doubled throughout 2026 alone.
